By Using Legal-Monitr You Accept These Terms

These Terms and Conditions (the “Terms”), in conjunction with our Privacy Policy, are the entire Agreement between The Legal Monitoring Company BV and its shareholders, affiliates, directors, officers, subsidiaries, employees, agents, suppliers, licensees, distributors, successors, resellers and assigns (“Legal-Monitr” or “We”) and you (“You” or the “User”). These Terms govern Your use of the Legal-Monitr web site (the “Site”), the Legal-Monitr web application and/or the Legal-Monitr services (collectively, the “Service”).

By using the Service, You are acknowledging that You have read and agreed to these Terms. We reserve the right to update these Terms at any time in our sole discretion. Any changes will become effective immediately upon posting. Your continued use of the Service after any changes constitutes acceptance of the new Terms. Right of Withdrawal (EU Consumers Only)

If You are a consumer residing in the European Union, You have the right to withdraw from this agreement within fourteen (14) days of subscribing to the Service without giving any reason. The withdrawal period will expire after 14 days from the day You first access the Service. To exercise the right of withdrawal, You must inform Legal-Monitr of Your decision to withdraw from this agreement by an unequivocal statement (e.g., a letter sent by post or e-mail). If You withdraw from this agreement, Legal-Monitr will reimburse all payments received from You within fourteen (14) days from the day on which Legal-Monitr is informed about Your decision to withdraw. However, if You have requested that the Service begins during the withdrawal period and You have been provided with access to the Service, You acknowledge that You lose Your right of withdrawal once the Service has been fully performed.

Privacy and Communications

You acknowledge and agree that Legal-Monitr may send You e-mails related to your account and/or the Service and accept our Privacy Policy.

Legal-Monitr processes personal data in accordance with the General Data Protection Regulation (GDPR) and other applicable data protection laws. You have the right to access, rectify, erase, restrict processing, object to processing, and data portability regarding Your personal data. You may exercise these rights by contacting Legal-Monitr through the contact form. Legal-Monitr will respond to such requests within one (1) month. Where Legal-Monitr processes Your personal data based on legitimate interests, You have the right to object to such processing. Legal-Monitr will cease processing unless it can demonstrate compelling legitimate grounds for the processing which override Your interests, rights and freedoms.

Accounts, Passwords and Security

You must be a registered User to access the Service. You are solely responsible for maintaining the confidentiality of Your password and account information. You are fully liable for all activities that occur under Your account, whether authorized by You or not. You agree not to access or attempt to access other Users' accounts, data, or any unauthorized areas of the Service. Legal-Monitr reserves the right to suspend or terminate accounts that violate these security provisions without notice or refund.

Fees

Legal-Monitr offers a 7-day free trial. The Service is provided under annual contracts with a duration of one (1) year from the date of contract conclusion. Contracts automatically renew for successive one-year periods unless either party provides written notice of non-renewal at least sixty (60) days before the end of the current term. Pricing is agreed separately in the offer email or contract document provided to You. Invoicing occurs semi-annually or annually as specified in Your contract. All invoices are due within thirty (30) days of the invoice date. Failure to pay invoices when due may result in suspension or termination of the Service. You are responsible for all charges incurred during Your subscription period, including any applicable taxes. Price changes will be communicated to You at Your next billing cycle. You may cancel Your subscription at least thirty (30) days in advance and will take effect at any time through the Service, with cancellation taking effect at the end of Your current billing period, without pro rata reimbursement.

Chargeback/Refund Policy

If You have a question about charges on Your invoice, You may contact Legal-Monitr within sixty (30) days of invoice date. Legal-Monitr will investigate billing errors in good faith and will credit Your account or issue a refund if Legal-Monitr determines that charges were made in error. For disputed charges, Legal-Monitr will provide a written response within thirty (30) days of receiving Your inquiry.

DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED “AS IS” AND YOU USE IT AT YOUR OWN RISK. Legal-Monitr EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTY OF MERCHANTABILITY, THE IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE AND THE WARRANTY OF NON-INFRINGEMENT.

WE TRY TO KEEP THE SERVICE BUG-FREE AND SAFE, BUT Legal-Monitr DOES NOT WARRANT OR ENSURE CONTINUOUS, ERROR-FREE, SECURE OR VIRUS- FREE OPERATION OF THE SERVICE OR YOUR ACCOUNT. YOU UNDERSTAND AND AGREE THAT YOU SHALL NOT BE ENTITLED TO MAKE ANY CLAIM BASED ON Legal-Monitr'S FAILURE, IRRESPECTIVE OF FAULT, TO PROVIDE ANY OF THE FOREGOING.

SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF PARTICULAR WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Legal-Monitr DISCLAIMS ALL WARRANTIES, EXPRESS AND IMPLIED. WHERE DISCLAIMERS ARE NOT PERMITTED, Legal-Monitr'S LIABILITY IS LIMITED TO THE MINIMUM EXTENT REQUIRED BY LAW.

Indemnification

You agree to indemnify, defend and hold harmless Legal-Monitr from all damages, liabilities, claims and expenses, including without limitation attorneys' fees and costs, arising from or related to Your data, Your use of the Service and/or any breach of these Terms by You. You further agree to defend, indemnify and hold harmless Legal-Monitr from all damages, liabilities, claims and expenses, including without limitation attorneys' fees and costs, arising from or related to any claims by third parties that Your data or Your use of the Service infringes upon, violates or misappropriates any of their Intellectual Property Rights or discloses their Proprietary Information.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Legal-Monitr BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF Legal-Monitr HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Legal-Monitr'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO Legal-Monitr IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY EUROS (€50), WHICHEVER IS LESS. THIS LIMITATION APPLIES TO ALL CAUSES OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, AND SHALL SURVIVE TERMINATION OF THESE TERMS.

Termination of Service

Legal-Monitr reserves the right to suspend, terminate, or restrict Your access to the Service at any time for material breach of these Terms, non-payment, suspected fraudulent activity, or any conduct that Legal-Monitr deems inappropriate, with thirty (30) days written notice except in cases of material breach where immediate termination is permitted. Either party may terminate the contract at the end of any annual term by providing sixty (60) days written notice. Upon termination, You will immediately lose access to all data and content associated with Your account. Legal-Monitr has no obligation to preserve, backup, or provide access to Your data after termination. Fees paid for the current annual term are non-refundable except as required by mandatory consumer protection laws.

Intellectual Property

Legal-Monitr claims no intellectual property rights over the data You provide to the Service. You acknowledge and agree that Legal-Monitr owns all right, title and interest in and to the Service, including without limitation all intellectual property rights. You agree that You will not copy, reproduce, alter, reverse engineer, clone, or modify the Service or create derivative works from the Service.

You retain ownership of Your data provided to the Service, but grant Legal-Monitr a worldwide, royalty-free, non-exclusive license to use, process, and analyze such data to provide and improve the Service. Legal-Monitr owns all right, title and interest in and to the Service, including all intellectual property rights, software, technology, processes, and know-how. You agree not to copy, reproduce, alter, modify, reverse engineer, decompile, disassemble, or create derivative works from the Service. You may not remove, alter, or obscure any proprietary notices on the Service.

Force Majeure

Neither party shall be responsible for any failure to perform, or delay in performing any of its obligations under these Terms, where and to the extent that such a failure or delay results from causes outside the control of such party. Such causes shall include, without limitation, failures caused by a third-party service, acts of God or of the public enemy, acts of the government in its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, freight embargoes, strikes, civil commotion or the like.

Special Admonitions for International Use

Recognizing the global nature of the Internet, You agree to comply with all applicable local, national, and international laws and regulations regarding data transmission, export controls, and privacy, including but not limited to laws of the European Union and the country in which You reside. You are solely responsible for ensuring Your use of the Service complies with all applicable laws. If You are a consumer residing in the European Union, certain provisions of these Terms may be limited by mandatory consumer protection laws. Nothing in these Terms affects Your statutory rights as a consumer, including but not limited to rights under consumer protection legislation, unfair contract terms legislation, and distance selling regulations. In case of conflict between these Terms and mandatory consumer protection laws, the consumer protection laws shall prevail to the extent of the conflict.

Choice of Law and Jurisdiction

You agree that all disputes related in any way to or arising from Your use of the Service shall be governed, without respect to conflict of law principles, by the laws of Belgium and only the courts of the judicial district of Brussels in Belgium shall be competent.

Users may contact Legal-Monitr regarding these Terms or the Privacy Policy via the contact form. Legal-Monitr is under no obligation to respond to inquiries and reserves the right to respond or not respond in its sole discretion.
